Terms of Service

These Terms are a contract between GREHUS SAS BIC (“GREHUS”) and the organization that creates an Elia account (“Customer”). Elia is dedicated to the customer-experience vertical: inbound and outbound products for companies (feedback, surveys, conversations, recovery, and related CX tools), built for in-person, multi-location businesses — including restaurants, hotels, clinics, retail, salons, and similar. By creating an account or using Elia, Customer accepts these Terms.

1. Company and law

GREHUS SAS BIC is a Simplified Stock Company of Benefit and Collective Interest (SAS BIC) constituted in the Republic of Ecuador, legally operating under the control of the Superintendencia de Compañías, Valores y Seguros del Ecuador.

These Terms are governed by the laws of the Republic of Ecuador. Courts of Ecuador have exclusive jurisdiction, except that GREHUS may seek injunctive relief where infringement occurs.

These Terms are our standard rules for providing Elia worldwide. Customer remains solely responsible for local consumer, labor, safety, health, and advertising laws that apply to its industry and locations.

2. The service

Elia is GREHUS’s product line in the customer-experience vertical for companies: inbound (the visitor or customer comes to the company) and outbound (the company reaches its customers). Modules may include feedback capture, surveys, conversations, tickets, review routing, and other CX tools. GREHUS may add, change, or retire modules within that vertical.

GREHUS grants Customer a limited, non-exclusive, non-transferable right to use Elia during an active subscription or free plan, solely for Customer’s own locations and operations.

We may change features, set fair-use limits, or suspend abuse. We do not guarantee uninterrupted service, a specific Google ranking, a specific visitor response rate, or that AI output is complete or correct.

3. Accounts

Customer must provide accurate registration data and keep admin users under its control. Customer is responsible for all activity under its organization, including branch directors and employees it invites.

Customer must not share passwords or attempt to access other organizations’ data.

4. Customer obligations (important)

Customer is the controller of visitor data and the merchant of any gift, discount, or follow-up promise shown in Elia. GREHUS is not a party to that promise and is not the visitor’s service provider.

Customer must keep Google review URLs accurate; honor catalog offers it lists; follow up when a visitor asks to be contacted; and not use Elia to collect visitor contact without the in-product consent where consent is required.

Customer must not instruct Elia to send unsolicited marketing to visitors. Elia’s recovery flow does not email or text visitors on Customer’s behalf.

Customer warrants it has the right to process visitor data in each country where it uses Elia.

5. AI and content

Chats and ticket drafts may use automated systems. Output can be wrong or incomplete. Customer must not rely on Elia as legal, medical, or safety advice. Red-severity situations remain Customer’s operational responsibility.

Customer owns its content (logos, copy, catalogs). Customer grants GREHUS a license to host and display that content to operate Elia. GREHUS owns Elia, its models’ configuration, and aggregated statistics that do not identify a visitor.

6. Fees

Paid plans are billed as shown at checkout (including PayPal or other processors). Taxes are Customer’s responsibility unless the invoice says otherwise. Fees are non-refundable except where Ecuadorian consumer law for that purchase requires it.

Non-payment may suspend the account. Visitor QRs and survey links may stop working while suspended.

7. Acceptable use

No illegal content, malware, scraping of Elia, resale of the service, or use that harms visitors or GREHUS. No collecting children’s contact data. We may remove content or suspend accounts that violate this section.

8. Privacy and processing

The Privacy Policy is part of these Terms. For visitor data, Customer is controller and GREHUS is processor: we will process only to provide Elia, follow documented instructions (including these Terms and in-app settings), keep reasonable security, and help with valid data-subject requests when Customer cannot do so alone.

Customer authorizes subprocessors in the categories listed in the Privacy Policy. A signed DPA is available on request at info@grehus.com for customers that need one.

9. Disclaimer and liability cap (company protection)

Elia is provided “as is” and “as available.” To the maximum extent permitted by law, GREHUS disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

GREHUS is not liable for lost profits, lost reviews, lost reputation, replacement products or offers, visitor claims against the Customer, or indirect or consequential damages.

GREHUS’s total liability arising from Elia is limited to the fees Customer paid to GREHUS for Elia in the 12 months before the claim. If Customer is on a free plan, the cap is USD 50. These limits do not apply to GREHUS’s fraud or willful misconduct, or to liability that Ecuadorian law does not allow to be limited.

10. Indemnity

Customer will defend and indemnify GREHUS SAS BIC against claims arising from: Customer’s locations and staff; offers and prices Customer listed; visitor injury or dissatisfaction; Customer’s illegal use of Elia; or visitor data Customer was not entitled to collect.

11. Term

Either party may terminate for material breach not cured in 15 days. Customer may stop using Elia at any time. We may delete inactive free accounts after notice. Sections on liability, indemnity, IP, and governing law survive.

12. Account and organization deletion

Organization owners and admins may request deletion from Account settings. Deletion is irreversible once confirmed.

Deleting the organization removes access for every user in that organization (owners, admins, editors, and viewers) and begins removal of organization data, including reviews workflows, tickets, survey content, distribution lists, and WhatsApp linkage configured for that organization.

After confirmation, accounts are deactivated immediately. Copies of organization data may remain on GREHUS servers for up to 30 days for security, billing reconciliation, and legal compliance, then are permanently deleted unless a longer retention period is required by law.

Before deleting, the Customer may request a one-time export copy of organization data by emailing info@grehus.com. Export requests are subject to identity verification, a reasonable processing fee, and must be submitted before or within the 30-day retention window. GREHUS does not guarantee that every message, attachment, or third-party integration artifact can be exported.

Deletion does not by itself cancel an active paid subscription processed through a payment provider; the Customer remains responsible for canceling recurring billing where applicable.

These texts are GREHUS SAS BIC’s standard conditions. The user company’s local counsel should still review consumer, health, and safety duties of its industry in each country.
